1 About These Terms

These Terms of Service ("Terms") are a legal agreement between you and East London St Innovations Ltd, a company registered in England & Wales (doing business as Remy, "we", "us", "our"). Our registered address is 3 Cornwood Close, London, England N2 0HP.

These Terms govern your access to and use of all Remy services, including:

• The Remy website at https://remyapp.io
• The Remy iOS mobile application
• The Remy Android mobile application
• The Remy ChatGPT App, distributed through OpenAI's ChatGPT App Directory

Together these are referred to as the "Services". By creating an account, downloading our app, or otherwise accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference.

If you do not agree to these Terms, you must not use the Services.

2 Eligibility

You may use the Services if you are at least 13 years of age. If you are under 18, you should review these Terms with a parent or guardian who agrees to them on your behalf. By using the Services, you represent that you meet these age requirements.

We recommend our Services for users aged 18 and over, as features including grocery purchasing decisions and nutritional guidance are best suited to adults. We do not knowingly collect personal data from children under 13. If we become aware that a user is under 13, we will deactivate their account.

You must not use the Services if you are prohibited from doing so under the laws of any jurisdiction applicable to you.

3 Your Account

Registration

To access most features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at info@remyapp.io if you become aware of any unauthorised use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to keep your credentials secure.

One Account Per Person

You may not create more than one account per person. You may not transfer your account to another person without our prior written consent.

Account Accuracy

You are responsible for ensuring that the information in your account — including dietary preferences, food restrictions, and kitchen inventory — is accurate. Remy's AI recommendations are generated based on the information you provide. Inaccurate information may result in unsuitable suggestions.

4 Our Services

Remy is an AI-powered kitchen and food management application designed to help you reduce food waste, manage your kitchen inventory, discover recipes, and connect with grocery retailers. The Services include, depending on the plan you use:

• Digital kitchen inventory management
• AI-generated recipe suggestions based on your inventory, preferences, and dietary requirements
• Nutritional and ingredient information associated with recipes and food products
• Shopping list creation and grocery basket building
• Connections to third-party grocery retailers for purchasing
• Access to the Remy ChatGPT App for interacting with the above features via the ChatGPT interface

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, although we will endeavour to give reasonable notice of material changes. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

Service Availability

We aim to provide the Services continuously but do not guarantee uninterrupted availability. The Services may be temporarily unavailable due to maintenance, updates, or events outside our reasonable control.

Third-Party Platforms

Where you access the Services through a third-party platform (such as Apple's App Store, Google Play, or OpenAI's ChatGPT App Directory), your use of those platforms is also governed by their respective terms. In the event of a conflict between those terms and these Terms, these Terms will govern our relationship with you to the extent permitted by the platform's rules.

5 Free and Paid Plans

Free Tier

Remy offers a free tier giving you access to core features without charge. We reserve the right to modify the features available on the free tier at any time.

Paid Subscription

Remy also offers a paid subscription plan providing access to additional features. Paid subscriptions are managed and billed through Apple's App Store or Google Play depending on your platform. All billing, payment processing, refunds, and cancellations are handled directly by Apple or Google under their respective terms. Remy does not process subscription payments directly.

To manage or cancel your subscription:

• iOS: Settings → [Your Name] → Subscriptions → Remy
• Android: Google Play → Profile → Payments & subscriptions → Subscriptions → Remy

Please review Apple's or Google's refund policies directly, as Remy has no authority to issue refunds for App Store or Google Play purchases.

Changes to Pricing

We may change the price of paid features from time to time. We will provide advance notice of any price changes through the relevant app store or via the Services. Your continued use of the paid plan after a price change constitutes your acceptance of the new price.

6 AI Recommendations — Important Disclaimer

Nature of AI Suggestions

Remy uses artificial intelligence and machine learning technologies to generate recipe suggestions, ingredient substitutions, nutritional estimates, dietary guidance, and other food-related content ("AI Content"). This AI Content is generated automatically and is provided for general informational and convenience purposes only.

Not Professional Advice

AI Content provided through the Services does not constitute professional medical, nutritional, dietetic, or allergy advice. You should not treat any AI Content as a substitute for advice from a qualified professional such as a doctor, registered dietitian, or allergist.

Allergy and Food Safety Warning

If you have a food allergy, food intolerance, or any medical condition affected by your diet, you must independently verify all ingredients, products, and recipes suggested by Remy before consumption. AI-generated content may be incomplete, inaccurate, or fail to account for trace ingredients, cross-contamination risks, or product formulation changes. Do not rely solely on Remy's AI suggestions where your health or safety may be at risk.

We strongly recommend that users with serious food allergies or medical dietary requirements always read product labels and consult a qualified healthcare professional before making dietary decisions.

Accuracy of AI Content

While we work to improve the quality and accuracy of our AI systems, AI Content may contain errors, omissions, or outdated information. We make no warranty that AI Content is accurate, complete, or suitable for your individual circumstances. You use AI Content at your own risk.

No Liability for AI Content

To the fullest extent permitted by law, we exclude all liability for any loss, harm, injury, or damage arising from your reliance on AI Content generated by the Services. This includes, without limitation, any adverse reaction, illness, or injury resulting from consuming food based on AI-generated recommendations.

7 User Content

What Is User Content

"User Content" means any content you submit, post, upload, or otherwise make available through the Services, including recipes, reviews, photographs, and comments.

Your Ownership

You retain ownership of User Content you create and post. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable licence to use, store, display, reproduce, and distribute your User Content solely for the purposes of operating and improving the Services. This licence ends when you delete your User Content or your account, except where the content has been shared with other users or incorporated into aggregated, anonymised data.

Your Responsibilities

You are solely responsible for your User Content. By posting User Content, you represent and warrant that:

• You own the content or have the right to post it
• The content does not infringe any third party's intellectual property, privacy, or other legal rights
• The content is accurate and not misleading
• The content does not violate these Terms or any applicable law

Content Standards

User Content must not be false or misleading, defamatory, abusive or threatening, sexually explicit, violent or harmful, spam, privacy-violating, or in breach of any third party's intellectual property rights.

Moderation

We reserve the right (but have no obligation) to review, moderate, remove, or refuse to display any User Content that we determine, in our sole discretion, violates these Terms or is otherwise harmful or inappropriate. We are not liable for any failure to remove, or delay in removing, such content.

8 Prohibited Uses

You agree not to use the Services in any of the following ways:

General Prohibitions

• For any unlawful purpose or in violation of any applicable law or regulation
• To transmit unsolicited or unauthorised advertising or promotional material (spam)
• To impersonate any person or entity, or falsely represent your affiliation with any person or entity
• To engage in conduct that is harmful, fraudulent, deceptive, or abusive towards other users or towards us
• To harass, intimidate, or threaten any other user

Technical Prohibitions

• To scrape, crawl, or systematically extract data from the Services — including retailer pricing, product data, or any other content — by automated means without our prior written consent
• To reverse engineer, decompile, or otherwise attempt to derive the source code of any part of the Services
• To circumvent, disable, or interfere with any security-related features of the Services
• To make bulk or automated requests to the Services in a manner that places excessive load on our infrastructure
• To introduce viruses, trojans, worms, or other malicious or technologically harmful material
• To attempt to gain unauthorised access to any part of the Services or any server, computer, or database connected to the Services

Content Prohibitions

• To post User Content that infringes any third party's copyright, trade mark, or other intellectual property rights
• To collect or harvest personal data about other users without their consent
• To distribute misinformation about food safety, allergies, or nutrition in a manner that could endanger others
• To use the Services for any commercial purpose other than as expressly permitted by these Terms

We reserve the right to suspend or terminate your account immediately if we reasonably believe you have violated any of the above prohibitions.

9 Third-Party Retailers and External Links

Retailer Redirects

Remy enables you to build shopping baskets and connect with third-party grocery retailers. When you choose to purchase groceries, Remy redirects you to the retailer's own website or application. Remy does not sell groceries, process payments, or act as a party to any purchase transaction.

Any purchase you make through a third-party retailer is a contract solely between you and that retailer, governed exclusively by the retailer's own terms and conditions, pricing, availability, and refund policies. We are not responsible for any aspect of the transaction, including product quality, delivery, pricing accuracy, or customer service.

Retailer Content

Product descriptions, prices, and availability displayed in Remy in connection with third-party retailers may be sourced from those retailers' data feeds and may not always be current or accurate. You should verify pricing and availability directly on the retailer's platform before completing a purchase.

External Links

The Services may contain links to third-party websites or services provided for convenience only. We have no control over the content, privacy practices, or terms of third-party sites and accept no responsibility for them. Your use of any third-party site is at your own risk.

10 Intellectual Property

Our IP

The Services and all content, features, and functionality provided by us — including the Remy name, logo, software, text, graphics, images, and AI systems — are owned by or licensed to East London St Innovations Ltd and are protected by copyright, trade mark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your personal, non-commercial use. This licence does not include the right to copy, modify, or create derivative works; reproduce or redistribute any part of the Services commercially; use data mining or scraping methods; or remove any proprietary notices.

Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, implement, and incorporate that feedback into the Services without any obligation to you.

Third-Party Content

Certain content available through the Services, including recipes, nutritional data, and product information, may be owned by third parties. Such content is used under licence or in accordance with applicable law and remains the property of its respective owners.

11 Intellectual Property Complaints

We respect intellectual property rights and expect our users to do the same. If you believe that content on or through the Services infringes your copyright or other intellectual property rights, please notify us in writing at info@remyapp.io with the subject line "IP Complaint".

Your notice must include:

1. A description of the copyrighted work or other intellectual property you claim has been infringed
2. A description of where the allegedly infringing material is located within the Services
3. Your name, address, telephone number, and email address
4. A statement that you have a good faith belief that the disputed use is not authorised by the intellectual property owner, its agent, or the law
5. A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the intellectual property owner or authorised to act on their behalf
6. Your physical or electronic signature

Upon receiving a valid notice, we will investigate and, where appropriate, remove or disable access to the allegedly infringing content and notify the user who posted it. Repeated infringers may have their accounts terminated.

12 Disclaimers

To the fullest extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis, without any warranty of any kind, whether express, implied, or statutory. We specifically disclaim any warranty that:

• The Services will be uninterrupted, error-free, or free of harmful components
• The results obtained from using the Services will be accurate, reliable, or meet your requirements
• AI-generated content is accurate, complete, or appropriate for your specific circumstances
• Third-party retailer information (including pricing and availability) is accurate or current

Nothing in these Terms affects your statutory rights as a consumer under the laws of England & Wales or any other applicable jurisdiction, including rights under the Consumer Rights Act 2015.

13 Limitation of Liability

To the fullest extent permitted by law, East London St Innovations Ltd and its directors, employees, agents, and licensors shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, including:

• Any harm arising from your use of or reliance on AI-generated content, including recipe, nutrition, or allergy suggestions
• Any loss or damage arising from your use of third-party retailer services accessed through Remy
• Any loss or damage arising from unauthorised access to or alteration of your data
• Any loss or damage resulting from your failure to keep your account credentials secure

Where our liability cannot be excluded by law, our total aggregate liability to you for all claims arising out of or in connection with these Terms or the Services shall not exceed the greater of (a) the total amount paid by you to us in the twelve months preceding the claim, or (b) £100.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

14 Indemnification

You agree to indemnify, defend, and hold harmless East London St Innovations Ltd and its directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services in violation of these Terms
• Your User Content, including any claim that it infringes a third party's intellectual property or other rights
• Your violation of any applicable law or regulation
• Your breach of any representation or warranty made in these Terms

15 Termination

Termination by You

You may stop using the Services and delete your account at any time through your account settings or by contacting us at info@remyapp.io. If you have a paid subscription, you must cancel it separately through the App Store or Google Play before deleting your account to avoid further charges.

Termination by Us

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have violated these Terms, your use poses a risk to us or other users, or we are required to do so by law or a competent authority. We may also terminate the Services entirely on reasonable notice.

Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. Sections 7, 10, 12, 13, 14, 17, and 18 will survive termination. We will handle your personal data following termination in accordance with our Privacy Policy.

16 Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by posting a notice within the Services, sending an email to your registered address where appropriate, and updating the "Last updated" date at the top of this page.

Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services. Where changes materially affect your rights or obligations, we will give you reasonable advance notice and, where required by law, seek your renewed consent.

17 Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the law of England & Wales.

Nothing in this clause affects your rights as a consumer under the laws of the country in which you are resident. If you are a consumer resident in the European Union, you may also benefit from mandatory consumer protection provisions of the law of your country of residence.

18 Dispute Resolution

Informal Resolution

If you have a complaint or dispute, please contact us first at info@remyapp.io. We will try to resolve your complaint informally within a reasonable time.

UK Consumers

If we are unable to resolve your complaint informally, you have the right to bring a claim in the courts of England & Wales. As a consumer you may also be entitled to use an approved Alternative Dispute Resolution (ADR) scheme — please contact us for details.

EU Consumers

If you are a consumer based in the European Union, you may submit a complaint through the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. Our contact email for ODR purposes is info@remyapp.io.

Jurisdiction

Subject to your consumer rights described above, both parties submit to the exclusive jurisdiction of the courts of England & Wales for the resolution of any disputes.

19 General

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us with respect to the Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

Assignment

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a successor entity in the event of a merger, acquisition, or sale of all or substantially all of our assets, provided the successor agrees to be bound by these Terms.

Force Majeure

We will not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, labour disputes, power failures, or failures of third-party infrastructure.

Language

These Terms are written in English. Where we have provided a translated version, the English version shall prevail in the event of any inconsistency.
